These FF.ST Terms of Service (hereinafter, “the Terms”) stipulate the terms and conditions under which Karpeles Lab Inc. (hereinafter, “KLB”) shall provide its video-sharing services (hereinafter, “the Services” or “Service”) through the Web or any application (collectively, “the Platform”) to a “customer” as defined in Article 1 of the Terms.
In the event KLB provides a new Service in the future, KLB may establish additional terms and conditions for that new Service. Those additional terms and conditions shall become part of these Terms (collectively, “the Terms, etc.”). If there is a conflict between these Terms and the additional terms, the additional terms shall take precedence.
Before using the Services, you (“the customer”) must clearly understand and agree to all of the Terms, etc.
Article 1: Terminology

The Services
The video-sharing and related services provided by KLB, whether accessed via a website or an application. These include (but are not limited to) features allowing customers to create accounts, channels, and video uploads, as well as subscribe to other channels and/or paid memberships. -
Application
Any official application provided by KLB for use on electronic devices to access or manage the Services. -
Official Website
The official website(s) operated by KLB where the Services can be accessed or managed. -
Customer
A person or entity who has concluded or is about to conclude a contract with KLB for the use of the Services. -
Account
Identifying information that enables KLB to distinguish each customer, along with data about which Services (or parts thereof) the customer is entitled to use. Commonly identified by a user ID or registered email, but not limited to these. -
User ID
A unique identifier (which may include a password, code, or other credentials) assigned or approved by KLB, allowing a customer to log in and use the Services. -
Electronic Terminal
A personal computer, smartphone, tablet, or any other lawful electronic device wholly owned or authorized for the customer to use when accessing the Services. -
Subscription Fee (or Service Fee)
The fee(s) a customer pays to access certain paid features of the Services—such as subscribing to specific channels, obtaining premium membership, or other paid functionalities—using a payment method specified by KLB. -
Customer-use Data
Any data relating to a customer’s usage of the Services, including (but not limited to) settings, preferences, subscription data, and any other conditions or records created during the customer’s use of the Services. -
Uploaded Information (User-Generated Content)
Any videos, images, audio, text, or other content (including metadata) uploaded or otherwise transmitted by the customer to KLB’s servers via the Services. -
Content
All systems, software, designs, user interfaces, icons, images, videos, text, programs, or other information provided by KLB to the customer through the Services, as well as the overall look and feel of the Services.
Article 2: Concluding the Terms of Use and Changes to the Terms, etc.

Conclusion of Terms of Use
To use the Services, the customer must (a) create an account on the official website or (b) install the application on an electronic terminal. By creating an account or installing the application and agreeing to these Terms, the customer enters into a contract (“Terms of Use”) with KLB for use of the Services under these Terms. -
Individual Terms for Each Account
The Terms of Use apply individually to each account the customer creates. If the customer has multiple accounts, each account is governed by its own Terms of Use. -
Guidelines, Rules, etc.
Guidelines or rules posted separately (hereinafter, “guidelines, etc.”) on the Services or official website shall be considered part of these Terms. In the event of any conflict between these Terms and the guidelines, etc., the latter shall prevail. -
Changes to the Terms
KLB may change these Terms or the guidelines, etc., at any time without prior customer approval. Unless otherwise specified, changes take effect at the time designated by KLB after they are published through the Services or official website. If no effective time is stated, the changes take effect immediately upon publication. -
Acceptance of Changes
If the customer continues to use any part of the Services, including making any required payments for paid features, after changes to these Terms are posted, the customer is deemed to have accepted those changes. If the customer objects to any changes, the customer must cease using the Services and cancel the contract for the Services accordingly. -
Customer’s Obligation to Check for Updates
The customer is responsible for periodically visiting the Services or official website to check for any updates to the Terms, etc. Unless KLB is deliberately or seriously at fault, KLB shall not be liable for any losses arising from a customer’s failure to review updates. -
Restrictions on Third-Party Use
The customer may not permit any third party (excluding an individual customer’s family members living in the same household or a corporate customer’s directors and employees) to use the Services under the customer’s account or contract. -
Limits on Multiple Accounts
- If the customer is an individual, creating multiple accounts is not permitted except for family members in the same household.
- If the customer is a corporation, creating multiple accounts is not permitted except for directors and employees authorized by that corporation.
Article 3: Concluding the Terms of Use for Underage Customers

Parental/Guardian Consent
If the customer is under the age of majority, they must obtain consent from a legal representative (e.g., parent or guardian) to use the Services (including agreement to these Terms). If an underage customer uses the Services without such consent, KLB may cancel the customer’s Terms of Use or terminate access to the Services. -
Deemed Consent Upon Reaching Majority
If the customer initially contracted as an underage individual and continues to use the Services after reaching the age of majority, the customer is deemed to have ratified all contractual terms related to the Services (including these Terms). -
Additional Restrictions for Minors
KLB may impose usage restrictions for underage customers—such as limiting or suspending certain Services or paid features. Such restrictions will be indicated on the Services or official website.
Article 4: Using the Services

Starting Use
After concluding the Terms of Use, the customer selects a service option or plan (e.g., free access, paid subscription, channel membership) as stipulated by KLB. -
Method of Access
The customer gains access by (a) authenticating their account on an electronic terminal they own (or are authorized to use), (b) installing and opening the application, or (c) following any other procedure stipulated by KLB for the selected service menu. -
Scope of Available Services
The customer may access and use all functionalities included in their selected service plan—such as creating channels, uploading videos, subscribing to other channels, commenting, etc.—as provided by KLB. -
Customer’s Responsibility for Equipment
The customer is responsible for obtaining and maintaining all electronic devices, Internet connections, and other necessary services (including associated costs) to access the Services. -
No Third-Party Sharing
The customer may not enable any unrelated third party (i.e., outside family/household or corporate staff) to use the Services under the customer’s account. -
Risk of Personal Data Exposure
If the customer sells, lends, or otherwise transfers an electronic terminal that is used to access the Services, the customer must ensure all personal data and stored credentials are removed beforehand. KLB disclaims liability for any damage caused by a customer’s failure to securely remove personal data. -
Service Menu Duration
The customer’s right to use any selected service menu begins when they complete KLB’s prescribed selection process and ends when the customer properly cancels it following KLB’s procedures. The customer remains liable for any fees incurred through the effective date of cancellation.
Article 5: Service Fees and Subscriptions

Payment Obligation
Certain Services (e.g., channel subscriptions, premium features) may require the customer to pay a fee (“service fee” or “subscription fee”) by a specified method and deadline determined by KLB. -
Fee Details
The fee amount, payment deadlines, and acceptable payment methods will be clearly indicated on the Services or official website. -
Changes to Fees
KLB may change subscription fee amounts, payment deadlines, or payment methods at any time. Unless otherwise stated, such changes become effective at the time specified by KLB after notification on the Services or official website. -
Payment Procedure
The customer shall follow the payment procedures specified by the payment processor designated by KLB. Any disputes regarding payment (including refusals, chargebacks, etc.) must be resolved between the customer and the payment processor. KLB assumes no liability unless KLB is deliberately or seriously at fault. -
No Refunds
Except where KLB is deliberately or seriously at fault or where otherwise mandated by law, fees paid by the customer are non-refundable. This holds true even if the customer is unable to access the Services due to disruptions outside KLB’s control.
Article 6: Assignment and Management of the User ID

User ID Assignment/Approval
When creating an account, KLB may either assign a user ID directly to the customer or approve an ID that the customer requests. -
Responsibility for ID and Account
The customer bears full responsibility for all actions, security, and management of their user ID and account. Any activity conducted under the customer’s user ID is deemed to be the customer’s own activity. The customer is liable for any obligations (including service fees) incurred by such activity unless KLB is deliberately or seriously at fault. -
Prohibited Transfers
The customer may not lend, sell, transfer, pledge, or otherwise dispose of their account or user ID, nor permit any third party to use it.
Article 7: Subscriptions and Paid Features

Subscription Features
KLB may offer certain Services—such as channel memberships, premium video access, or other paid features—on a subscription basis. Subscriptions must be purchased in accordance with procedures and pricing outlined on the Services or official website. -
Usage of Paid Features
Unless otherwise stated by KLB, the customer may use purchased subscriptions or paid features only within the Services and only for purposes authorized by KLB. -
No Transfer of Intellectual Property
Purchasing subscriptions or other paid features does not grant the customer any copyright, trademark, or other intellectual property rights. It merely grants a license or access right to use specific features of the Services. -
Restrictions for Minors
If the customer is a minor, KLB may impose limits on which subscription-based features or paid content can be purchased or accessed. Any such restrictions will be specified on the Services or official website. -
Change or Discontinuation of Paid Features
KLB reserves the right, at its discretion, to change, discontinue, or remove any paid feature (including channel subscriptions). In such cases, KLB will notify customers in advance using a method it deems appropriate. KLB shall not be liable for any loss or damage resulting from such changes or discontinuation unless mandated by law or caused by KLB’s deliberate or serious fault.
Article 8: Personal Information and Its Management

Collection of Personal Information
In providing the Services, KLB may collect personal information (as defined under applicable personal information protection laws) and other related information about the customer. -
Privacy Policy
KLB handles all personal information in accordance with its “Privacy Policy,” which is accessible via the Services or the official website. KLB may revise the Privacy Policy at any time by posting updates on the Services or official website. Changes become effective at the time indicated or immediately upon posting if no time is stated. -
Consent to Privacy Policy
By using the Services, the customer agrees to the current and any future updated version of KLB’s Privacy Policy regarding how KLB collects, uses, and protects personal information.
Article 9: Transmitting User-Generated Content

Responsibility for Transmitted Information
The Services may allow the customer to post or transmit text, images, videos, live streams, audio, programs, or other content (“transmitted information” or “user-generated content”). The customer is solely responsible for any such transmissions. -
Intellectual Property Guarantees
By uploading or posting any content, the customer guarantees that such content does not infringe upon the rights (including intellectual property rights) of any third party. -
Disputes with Third Parties
If a dispute arises with a third party (e.g., copyright holder) regarding user-generated content, the customer must resolve such dispute at their own expense and responsibility. KLB bears no liability for these disputes unless KLB is deliberately or seriously at fault. -
License to Use Transmitted Information
By transmitting or uploading content, the customer grants KLB and its affiliates a non-exclusive, irrevocable, worldwide, royalty-free license to use, distribute, reproduce, modify, adapt, publicly perform, and publicly display that content for any purpose related to the operation, promotion, and improvement of the Services, consistent with these Terms. KLB may also allow other users or third parties to view or access such content (e.g., via embedded links, shared posts) as part of normal usage of a video-sharing platform. -
Monitoring and Removal
KLB may monitor user-generated content without advance notice if KLB reasonably believes that such content may violate these Terms, applicable law, or the rights of others. KLB may remove or restrict access to such content at its discretion.
Article 10: Management of Customer-use Data

Ownership and Use of Data
Customer-use data (e.g., watch history, channel subscription lists, playlist data, analytics) are used by KLB for the purpose of providing or improving the Services. Except where otherwise provided by law, KLB retains the right to manage, dispose of, or delete such data. -
Examination and Deletion
KLB may examine and/or delete, move, or alter customer-use data for reasons including (but not limited to):- Termination or expiration of the Terms of Use
- Discontinuation of relevant Services
- Suspected violation of these Terms
- Technical or administrative reasons for maintaining Service integrity

No Obligation to Modify
KLB is not obligated to alter or restore customer-use data on the customer’s behalf. -
Publicity
KLB may refer to the fact that the customer uses the Services, without disclosing personal beliefs, private details, or confidential data. -
Disclaimer of Liability
KLB shall not be liable for any loss or damage suffered by the customer or any third party due to KLB’s alteration or deletion of data unless KLB is deliberately or seriously at fault.
Article 11: Management of Uploaded Information (Videos and Other Content)

Deletion upon Termination
When the customer terminates use of the Services or any relevant service menu (e.g., channel membership) under these Terms, KLB may delete the corresponding uploaded information from its servers after 30 days (or another period specified by KLB). -
Backups
The customer is responsible for maintaining backup copies of all uploaded videos or content. KLB assumes no liability for any data loss resulting from routine maintenance, technical failures, or other disruptions.
Article 12: Prohibited Conduct by the Customer
The customer (and any user accessing the Services under the customer’s account) must NOT engage in or attempt any of the following activities:

Illegal Acts
- Violating any laws, regulations, or government-issued orders.
- Committing or encouraging criminal acts.
- Defamation, slander, or harming another’s reputation.

Infringement of Rights
- Infringing upon KLB’s or any third party’s intellectual property or other rights.

Inappropriate Acts
- Threats, stalking, or harassment.
- Hate speech, obscene, vulgar, or offensive language.
- Encouraging self-harm or suicide.
-
Protection of Minors
- Encouraging minors to engage in harmful, illegal, or sexual activities.
- Posting or disseminating child pornography or similarly abusive content.

Unauthorized Commercial Activities
- Unapproved commercial transactions, solicitation, or religious activities on the platform.

Impersonation
- Impersonating KLB staff, other users, or any other individual or entity.

Unauthorized Access or Hacking
- Accessing accounts without permission, intercepting communications, introducing viruses or malicious software, or exploiting bugs.

Circumventing Security or Restrictions
- Using or distributing unauthorized tools to alter or manipulate the Services.
- Reverse engineering, decompiling, or otherwise attempting to derive source code without permission.

Other Prohibited Acts
- Collecting or sharing personal information of others without consent.
- Exceeding account creation limits.
- Lending or selling accounts or user IDs.
- Any conduct that obstructs or disrupts KLB’s operations or the normal functioning of the Services.
Article 13: Suspension or Restriction of Service Use
KLB may immediately suspend or restrict a customer’s access to all or part of the Services if KLB determines any of the following:
- Violation (or potential violation) of these Terms.
- Failure to pay the required service fees by the specified deadline.
- Evidence of fraudulent or improper acts relating to payment.
- The payment processor denies or terminates the customer’s payments.
- Customer bankruptcy or similar insolvency proceedings.
- Unauthorized use or suspected compromise of the customer’s account.
- Any other reason KLB deems detrimental to the sound operation of its business or the Services.
Article 14: Termination of a Service Menu or Account by the Customer

Service Menu Cancellation
The customer may cancel (unsubscribe) a particular service or channel membership by following KLB’s specified procedure. Cancellation takes effect when confirmed by KLB. Other Services or these Terms continue unless the entire account is terminated. -
Account and Contract Termination
The customer may terminate the entire Terms of Use (and thereby their account) by following KLB’s specified procedure. Termination takes effect upon KLB’s confirmation.
Article 15: Termination of a Service Menu or Account by KLB

Immediate Termination
If KLB determines that any of the following apply, it may immediately terminate all or part of the customer’s Terms of Use (including any associated accounts):- Violation (or high risk of violation) of these Terms.
- Non-payment of service fees.
- Fraud or improper acts relating to payment.
- Payment processor denies payments.
- Bankruptcy or insolvency proceedings.
- Unauthorized third-party use of the customer’s account.
- Actions harmful to KLB’s business.
- History of suspension or termination in KLB’s other services.
- Inactivity for a period specified by KLB.
- Customer’s death.
- Any reason making it impossible or inappropriate for KLB to continue providing Services to the customer.

Indemnity
Unless KLB is deliberately or seriously at fault, KLB shall not be liable for any loss or damage suffered by the customer due to termination of the contract under this article. -
Technical Enforcement
KLB may use technical measures (e.g., disabling accounts, removing videos) to enforce termination.
Article 16: Changes, Interruptions, or Discontinuation of Services

Changes to Services
KLB may change or modify all or part of the Services at any time, with or without notice. -
Discontinuation
At KLB’s discretion, KLB may discontinue all or part of the Services. Except in emergencies, KLB will announce any planned discontinuation or interruption in advance via a method it deems appropriate. -
Temporary Suspension
KLB may temporarily suspend the Services without notice if any of the following events occur (emergency maintenance, network outages, natural disasters, etc.). KLB is not liable for losses arising from such suspensions unless KLB is deliberately or seriously at fault. -
No Liability for Changes or Shutdown
KLB assumes no responsibility for damages or losses (including lost profits) resulting from modifications, interruptions, or termination of the Services, unless mandated by law or caused by KLB’s deliberate or serious fault.
Article 17: Disclaimer of Warranties and Liability

Service Variability
The Services’ features and methods of provision may evolve or change over time. KLB does not guarantee permanent availability of any particular feature, content, or methodology. -
No Guarantees
Unless KLB is deliberately or seriously at fault, KLB provides the Services “as is” without warranties of any kind, including but not limited to:- Bug-free, error-free operation; uninterrupted access.
- Compatibility with all devices or environments.
- Completeness, accuracy, reliability, or utility of any information provided.
- Preservation or non-deletion of user-generated content.
- Non-infringement of third-party rights.

Usage Risks
The customer uses the Services at their own risk. KLB is not liable for personal, social, or physical issues that arise from Service usage. -
Third-Party Acts
KLB is not liable for losses stemming from third-party actions such as unauthorized access, hacking, or introduction of malware, unless KLB is deliberately or seriously at fault. -
Customer Disputes with Third Parties
Any dispute or claim arising between the customer and a third party due to the customer’s use of the Services shall be resolved by the customer at their own cost. If KLB incurs costs or damages (including legal fees) because of such disputes, KLB may seek indemnification from the customer.
Article 18: Compensation for Loss or Damage

Customer’s Liability to KLB
If the customer causes loss or damage to KLB through a breach of these Terms or other wrongful act, the customer is liable for indemnifying KLB. KLB may demand the customer cease any injurious act or pay for incurred damages. -
KLB’s Liability to Customer
If KLB is liable for damages caused to the customer, KLB’s liability (absent deliberate or serious fault) is limited to the amount the customer has actually paid to KLB for the Services during the applicable period. KLB is not liable for indirect or consequential damages (e.g., lost profits).
Article 19: Intellectual Property Rights Related to the Services

Service Content
All intellectual property rights in the Services’ content belong to KLB or its licensors. Except as permitted by law or expressly allowed by KLB, the customer may not reproduce, distribute, or otherwise exploit the Services’ content without authorization. -
Trademarks
Trademarks, service marks, logos, or names used in the Services or on the official website are the property of KLB or third parties. Nothing in these Terms grants any rights to use these marks without explicit permission. -
No Registration of Similar Marks
The customer may not register or attempt to register trademarks that are similar to those used in the Services or on the official website. -
No Derivative Works
The customer may not create derivative works, decompile, reverse engineer, or otherwise attempt to extract source code from the Services or any software contained therein.
Article 20: Validity of the Terms

Partial Invalidity
If any provision of these Terms is deemed invalid under applicable law, that invalidity does not affect the remaining provisions. -
Partial Invalidity for Some Customers
If any part of these Terms is deemed invalid or inapplicable to certain customers, it does not affect the validity and enforceability of the Terms for other customers.
Article 21: Special Clauses
KLB may include special clauses applicable to certain Services or features (e.g., live streaming, premium-only channels, or third-party integrations) at the end of these Terms or on the official website. Such special clauses shall have the same effect as these Terms.
Article 22: Governing Law and Jurisdiction

Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of Japan. -
Jurisdiction
In the event of any dispute arising out of or related to the Services or these Terms, both parties shall first seek to resolve the matter through good-faith discussions. If no resolution is reached, the exclusive jurisdiction of the first instance shall be the Tokyo District Court in Tokyo, Japan.
